At TECHARTUS, we value our relationship with you and place the highest importance on respecting and protecting the privacy of our customers. To help you feel comfortable and confident when using our Web sites, here are the principles that govern our information practices and other privacy aspects of our Web sites. When we use the words "personal information," we’re referring to information that personally identifies you. This privacy statement applies to all TECHARTUS sites and services that display or link to the statement.

Information We Collect

Some TECHARTUS products require you to register your purchase. During the registration process we ask for your name, business address and phone number, e–mail address and company name. If you register online, your software license and version information may be sent to TECHARTUS automatically. We may also ask you to answer some optional questions about yourself and your business and how you use the product. We may obtain additional information about you, such as address change information, from commercially available sources, in order to keep our records current.

When purchasing or using our services, we may also ask for company financial information, sales numbers, collection data, mode of collection, employee information and other information necessary to process the service application or fulfill the service. We may use this information to verify your identity and creditworthiness. While using certain parts of our software, we may prefill some information from your software to assist you in the application process. When you sign up for additional services, we may use previous application information to determine if you qualify for other services. You will be able to change or update information on the application prior to submitting. We may also use this information to assist you in filling out other applications for financial services.

Disclosing Your Data

TECHARTUS may also transfer personal data to TECHARTUS–affiliated companies in other countries. These may be outside India and may not have adequate laws that protect the rights and freedoms of data subjects in relation to the processing of personal data. Where this is done, TECHARTUS shall take necessary steps to adequately protect the information transferred. BY SUPPLYING PERSONAL DATA TO TECHARTUS, YOU CONSENT TO ANY SUCH TRANSFER.

Collection Of Information In Mobile Applications

When using TECHARTUS mobile applications and services, we may collect personal information from you such as your phone number, mobile device type, and carrier. We use this information in order to set up and manage your account as well as contact you about your services. If you use location–enabled products and services, you may be sending TECHARTUS location information. This information may or may not reveal your actual location. We use your information to process and personalize your requests. We also use the information for support, to develop new features, and to improve the overall quality of TECHARTUS’s products and services. We may also use the information to show you a history of your activity, to provide you with statistics about you or your use of our product or service, or to provide you with a better user experience. If you give us permission, we may also use your information to contact you about special offerings that may interest you. If you sign up for a mobile message service, you will have the opportunity to stop receiving mobile messages by following the instructions in the message.

Your mobile service provider may be required to monitor your messages for inappropriate content, and that provider may pass on that monitoring obligation to TECHARTUS. To fulfill these requirements, TECHARTUS may monitor your mobile messages for inappropriate content.

If you sign up for an TECHARTUS mobile messaging service through which you have the ability to send mobile messages to other individuals or businesses, you are required to follow all applicable laws, including unsolicited communication laws.

If you sign up for a third–party application or service, we may share information about your mobile device in order to provide the service you requested. Your carrier may have access to information we collect. We suggest that you review your carrier's privacy statement and the privacy statements for any third–party applications or services you use.

How We Use Information

To provide Web Based, Web Connected Services

TECHARTUS software products are Web–enabled. You can access some of our services from within our desktop products and others directly at a Web site. Some desktop features require Internet access and will open in a browser window in the software, which will pass through an TECHARTUS server before being redirected onto the Internet. If the software cannot find a connection, it may ask you to establish one. When you are connected to the Internet from within the software we may also include product updates and messages, service information and help content in the Internet transmissions.

TECHARTUS ProfitBuild will pull updates automatically from TECHARTUS owned or operated servers or other third-party servers as and when necessary – with an aim to provide the best user experience to you. The software will automatically check for updates when you are connected to the internet. When you receive updates, TECHARTUS will receive technical information about your computer’s connection and the software being updated.

When you access our Web–enabled services from within our desktop products we will note the link you clicked on and we may also collect information about your product, system or other technical data that will help us direct you to the appropriate information or service. Some of our Web–enabled products and services synchronize with the information on your computer to help keep the data accurate and provide additional online services. In some cases, you can manage the frequency of these updates.

We may access and set cookies using Web beacons, also known as single–pixel GIFs, which are invisible graphical images. These Web beacons provide useful information regarding our site, such as the pages visitors view. When we track activity on this or other TECHARTUS Web sites, we collect information such as your IP address, browser type and version, and pages you view.

We also keep track of how you get to our sites and any links you click on to leave our sites. We do not track URLs that you type into your browser, nor do we track you across the Internet once you leave our sites. We use your Web site activity to assist you by reducing the need to re–enter your data and to help us resolve technical support issues.

We may also use this information to offer you a personalized Web experience, and to tailor our offerings to you. Remember, you control whether you receive TECHARTUS promotional communications through e–mail, phone, or postal mail.

To help us collect site usage data, we use service providers to place Web beacons on specific Web pages and send usage information about that page via the use of cookies. These cookies and Web beacons to not transmit personally identifiable information to TECHARTUS or to our service providers. All Web navigation data is used in the aggregate to improve our product and site performance.

When we send you e–mails, we may include a Web beacon to determine how many people open our e–mails. When you click on a link in an e–mail, we record this individual response to customize our offerings to you.

Advertising networks that serve ads on this and other Web sites may assign a different cookie to you. The information collected is anonymous and is not linked to your personal information. These cookies may be used to select which ads you see on Web sites and determine the effectiveness of this advertising. You may choose to decline cookies from third–party ad servers, which TECHARTUS does not control.

To provide you with services that connect with your other third party server, we must access your online account. We request the user name, password and any other login information that you have set up with those third parties to enable access. We use your login credentials to routinely update and maintain relevant information you download, to address errors or service interruptions, and to enhance the services we may provide in the future. If we store your login credentials, we will maintain and encrypt them on our firewall–protected servers.

Some third-parties might require you to manually update your information and re–enter your login information before downloading each transaction. This information is encrypted and transmitted using secure socket layer technology, making it unreadable during transmission. It is then stored on our secure servers. We may also periodically receive aggregated, anonymous, general usage information from these third parties, including which online services are used and the frequency of usage. This information helps us improve our services and assist us with troubleshooting and technical support.

Some products and services permit you to grant access and specify permissions for those you authorize to use the service. As a result, we store the personal information of those granted access. This information may include name, email address, username/ password, and security challenge questions and answers.

TECHARTUS and its subsidiaries may exchange information about your transactions to fulfill your requests. We may also provide you information about products or services we believe you may be interested in unless you have asked us not to contact you. We offer you the opportunity to review privacy practices at our subsidiaries’ Web sites.

To provide Community and Feedback

We provide discussion forums, blogs and other community–oriented features that enable forum members to communicate with other members. To participate in the forum, we require you to register with a valid e–mail address. We recommend that you exercise discretion in posting personal information on these message boards. Any information you provide is accessible by other users. We also have many places where users can provide feedback and suggestions. It is optional to provide your personal information. These submissions are not confidential or proprietary, and we may publish this information in a way that does not identify you personally

Some of our marketing emails have a "Refer–a–Friend" feature that provides you with the ability to automatically send information about TECHARTUS Products and Services to your Friends. Your friend’s e–mail address will only be used for the one–time distribution of the information and will not be used for any other purpose.

Information Security

We protect the confidentiality and security of your personal information from loss, misuse, or unauthroized alteration by using industry-recognized security safeguards such as firewalls, coupled with carefully developed security procedures. We maintain physical, electronic and procedural safeguards that comply with applicable law and federal standards. Whenever we ask for sensitive information, such as credit card numbers, we encrypt it as it is transmitted to us.

Users that you invite to access your Web–based services will be required to set up an TECHARTUS user ID and password before they can access the information you post. Your Web–based services are password protected and we recommend that you do not share your password with anyone. Remember to sign out of your Web–based product and services and close your browser window when you have finished your work. This prevents others from accessing your account if you share a computer or use a computer in a public place, such as a library or Internet café.

We train and require our employees to safeguard your information. We also use physical, electronic and procedural safeguards by restricting access to personal information to those employees and agents for business purposes only. Additionally, we use internal and external resources to review the adequacy of our security procedures.

At TECHARTUS, safeguarding your personal information is a top priority. Part of our commitment is making you aware of popular identity theft and fraud scams and providing you with information to protect yourself. Although sometimes difficult to identify, you may receive hoax e–mails, such as phishing scams, that look authentic and appear to have been sent by a company you recognize. These e–mails ask you to provide or confirm your sensitive personal information by clicking on links. To entice you, they often claim an urgent or threatening condition concerning your account, or offer you a prize. You should not reply or click on any links in the e–mail or provide any personal information without verifying that the e–mail is legitimate through another channel. TECHARTUS does not solicit sensitive customer information via e–mail. If you receive an e–mail message that appears to come from us that requests such information, please forward it immediately to: security@profitbuild.in. We will respond quickly to mitigate potential damage.

Third Parties

Sometimes we ask outside firms, or third parties, to help us provide services, such as designing a Web site, sending e–mails, registering a prospective domain name, or analyzing data. Our contracts with these third parties outline the appropriate use and handling of your information and prohibit them from using any of your personal information for purposes unrelated to the product or service they’re providing. We require vendors to maintain the confidentiality of the information we provide to them.

We may disclose, access, or report personal information when we believe, in good faith, we’re required to by law or to protect our legal rights. We may also do this in connection with an investigation into a suspected violation involving the Terms of Service, fraud, intellectual property infringement, or other activity that may be illegal or expose us to legal liability. For example, we may be required to disclose personal information to cooperate with regulators or law enforcement authorities or to comply with a court order, subpoena, search warrant, or law enforcement request.

Thank you for selecting the Services offered by TECHARTUS SOLUTIONS. and/or its subsidiaries and affiliates (referred to as "TECHARTUS", "we", "our", or "us"). Review these Terms of Service ("Agreement") thoroughly. This Agreement is a legal agreement between you and TECHARTUS. By accepting electronically (for example, clicking “I Agree”), signing, installing, accessing or using the Services, you agree to these terms. If you do not agree to this Agreement, then you may not use the Services.

1.Agreement

This Agreement describes the terms governing your use of the PROFITBUILD online services provided to you on this website(www.profitbuild.in), including content, updates and new releases, (collectively, the “Services”). It includes by reference.

TECHARTUS's Privacy Statement provided to you in the Services available on the website or provided to you otherwise.

Additional Terms and Conditions, which may include those from third parties.

YYNOT may communicate with you via email, SMS or in APP notifications, regarding your account, system updates or other issues related to your account.

Any terms provided separately to you for the Services, including product or program terms, ordering, activation, payment terms, etc.

2.Your Rights To Use The Services

2.1 The Services are protected by copyright, trade secret, and other intellectual property laws. You are only granted the right to use the Services and only for the purposes described by TECHARTUS. TECHARTUS reserves all other rights in the Services. Until termination of this Agreement and as long as you meet any applicable payment obligations and comply with this Agreement, TECHARTUS grants to you a personal, limited, nonexclusive, nontransferable right and license to use the Services.

2.2You agree not to use, nor permit any third party to use, the Services or content in a manner that violates any applicable law, regulation or this Agreement. You agree you will not.

• Provide access to or give any part of the Services to any unauthorized third party.

• Reproduce, modify, copy, deconstruct, sell, trade or resell the Services.

• Make the Services available on any file-sharing or application hosting service.

3.a.Payment

For Services offered on a payment or subscription basis, the following terms apply, unless TECHARTUS or its vendor(s) notifies you otherwise in writing. This Agreement also incorporates by reference and includes program ordering and payment terms provided to you on the website for the Services.

a. Payments will be billed to you by TECHARTUS SOLUTIONS ONLY. The billing will be done every month in advance in Indian Rupee (INR) or other currencies which may be made available (plus any and all applicable taxes, including without limitation VAT and GST), and your account will be debited when you subscribe and provide your payment information, unless otherwise explicitly stated in any communication from TECHARTUS.

b.You must pay with one of the following.

1. A valid credit card acceptable to TECHARTUS; 2. A valid debit card acceptable to TECHARTUS; 3. In countries where accepted by TECHARTUS, sufficient funds in a checking or savings account to cover an electronic debit of the payment due; or 4. By another payment option TECHARTUS provides to you in writing.

c. If your payment and registration information is not accurate, current, and complete and you do not notify us promptly when such information changes, we may suspend or terminate your account and refuse any use of the Services.

d. If you do not notify us of updates to your payment method (e.g., credit card expiration date), to avoid interruption of your service, TECHARTUS may participate in programs supported by your card provider (e.g., updater services, recurring billing programs, etc.) to try to update your payment information, and you authorize us to continue billing your account with the updated information that we obtain.

e. TECHARTUS will automatically renew your monthly, quarterly, or annual Services at the current rates, unless the Services are cancelled or terminated under this Agreement.

f. Additional cancellation or renewal terms may be provided to you on the website for the Services.

g. All authorized refunds will be made in the original form of payment to TECHARTUS

3.b.Refund Policy

TECHARTUS has made a free 30-day trial available in order to enable you to experience the product prior to purchase, and fully satisfy yourself as to its suitability for your business. During this period and thereafter, all possible assistance is made available to you, including free online training and technical support. However, if you are not satisfied with the product for any reason, TECHARTUS will refund the amount paid towards your subscription in full provided the request for refund is received within 60 days of purchase.

4.Use With Your Mobile Device

Use of these Services may be available through a compatible mobile device using Internet access and may require software. You agree that you are solely responsible for these requirements, including any applicable changes, updates and fees for SMS messages, data plans, and general usage, as well as the terms of your agreement with your mobile device and telecommunications provider

TECHARTUS MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED AS TO.

(i) The Availability Of Telecommunication Services From Your Provider And Access To The Services At Any Time Or From Any Location;

(ii) Any Loss, Damage, Or Other Security Intrusion Of The Telecommunication Services; And

(iii) Any Disclosure Of Information To Third Parties Or Failure To Transmit Any Data, Communications Or Settings Connected With The Services.

5.your Personal Information

You can view TECHARTUS’s Privacy Statement provided with the Services and on the website for the Services. You agree to the applicable TECHARTUS Privacy Statement, and any changes published by TECHARTUS. You agree that TECHARTUS may use and maintain your data according to the TECHARTUS Privacy Statement, as part of the Services. You give TECHARTUS permission to combine information you enter or upload for the Services with that of other users of the Services and/or other TECHARTUS services

For example, this means that TECHARTUS may use your and other users’ non-identifiable, aggregated data to improve the Services or to design promotions and provide ways for you to compare business practices with other users. TECHARTUS is a global company and may access or store personal information in multiple countries, including countries outside of your own country to the extent permitted by applicable law.

6.1 You are responsible for your content

You are responsible for all materials ("Content") uploaded, posted or stored through your use of the Services. Archive your Content frequently. You grant TECHARTUS a worldwide, royalty-free, non-exclusive license to host and use any Content provided through your use of the Services. You are responsible for any lost or unrecoverable Content. You must provide all required and appropriate warnings, information and disclosures. TECHARTUS is not responsible for the Content or data you submit through the Services. You agree not to use, nor permit any third party to use, the Services to upload, post, distribute, link to, publish, reproduce, engage in or transmit any of the following, including but not limited to.

a. Illegal, fraudulent, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, harassing, offensive, inappropriate or objectionable information or communications of any kind, including without limitation conduct that would encourage "flaming" others, or criminal or civil liability under any local, state, federal or foreign law;

b. Content that would impersonate someone else or falsely represent your identity or qualifications, or that constitutes a breach of any individual’s privacy;

c. Except as permitted by TECHARTUS in writing, investment opportunities, solicitations, chain letters, pyramid schemes, other unsolicited commercial communication or engage in spamming or flooding;

d. Virus, trojan horse, worm or other disruptive or harmful software or data; and

e. Any information, software or Content which is not legally yours and without permission from the copyright owner or intellectual property rights owner.

6.2 Community forums.

The Services may include a community forum or other social features to exchange Content and information with other users of the Services and the public. TECHARTUS does not support and is not responsible for the content in these community forums. Please use respect when you interact with other users. Do not reveal information that you do not want to make public. Users may post hypertext links to content of third parties for which TECHARTUS is not responsible.

6.3 TECHARTUS may freely use feedback you provide.

You agree that TECHARTUS may use your feedback, suggestions, or ideas in any way, including in future modifications of the Services, other products or services, advertising or marketing materials. You grant TECHARTUS a perpetual, worldwide, fully transferable, sublicensable, non-revocable, fully paid-up, royalty free license to use the feedback you provide to TECHARTUS in any way.

6.4 TECHARTUS may monitor your Content

TECHARTUS may, but has no obligation to, monitor content on the Services. We may disclose any information necessary to satisfy our legal obligations, protect TECHARTUS or its customers, or operate the Services properly. TECHARTUS, in its sole discretion, may refuse to post, remove, or refuse to remove, any Content, in whole or in part, alleged to be unacceptable, undesirable, inappropriate, or in violation of this Agreement.

7. Permitted Disclosures And Use Of Data

You acknowledge and agree that in order to provide you with access to and use of the PB Online Services, TECHARTUS may provide your access information and account data to

(i) You acknowledge and agree that in order to provide you with access to and use of the PB Online Services, TECHARTUS may provide your access information and account data to .

(ii) ) such other employee or agent who may be designated by you as a replacement administrator for the your account by following the procedures required by TECHARTUS to effectuate such replacement. Any other person You identified as an authorized user of the PB Online Services will have access to the account data subject to the access permissions you or the system administrator assigned to them.

Online Data Transfer (Not Applicable To Versions That Do Not Include Access To The Online Data Transfer Feature).

You may have the option for TECHARTUS to transfer your data files from the PB Online Service in order to facilitate certain interoperability, data integration, and data access between the PB Online Service and certain supported ancillary services (the “Ancillary Services”) you may sign up for and use in connection with the PB Online Service (the “Online Data Transfer”). In order for you to select the Online Data Transfer option, you must

(i)have registered select versions of the PB Online Service,

(ii) have Internet access

(iii) have an active subscription to the PB Online Service; and

(iv)and may need to be an active subscriber to the Ancillary Services

If you select the Online Data Transfer option, a copy of all or part of your company data files will be transferred via the Internet to TECHARTUS’s servers; where you grant TECHARTUS the right and license to

(i) host and maintain your data,

(ii) use and transfer your data to the Ancillary Services and

(iii) reformat and manipulate your data as reasonably necessary for the data to function with the Ancillary Services. Your original data files will remain in the PB Online Service.

If you sign up for any Ancillary Services that support Online Data Transfer, you will have the option to request that TECHARTUS send your data to any of those supported Ancillary Services. If a supported Ancillary Service is provided by a third party, you authorize TECHARTUS to transfer your data to and from the third party provider to enable provision of the Ancillary Services to you.

TECHARTUS will support and maintain the data transfer service as part of the PB Online Service. You agree that the third party provider may transfer your data from the Ancillary Service to TECHARTUS, and that, TECHARTUS may use such data subject to the terms of this Agreement.

You agree and acknowledge that TECHARTUS has no control over any third party provider or any third party Ancillary Services. Your use of the Ancillary Service is subject to additional third party terms and conditions.

You further agree and acknowledge that your data, including your financial or personal information, may be transferred to a third party service provider who may be located in a country that does not have adequate security controls to protect your data.

Please carefully review their terms and conditions, including privacy policy. If you do not agree with their terms and policies, you should not use or access the third party Ancillary Service and you should not authorize the Online Data Transfer to the third party Ancillary Service. .

PB ONLINE SERVICE USE, STORAGE AND ACCESS.

PB ONLINE SERVICE USE, STORAGE AND ACCESS. TECHARTUS shall have the right, in its sole discretion and with reasonable notice posted on the PB Online Service site and/or sent to you at the Current Administrator’s email address provided in the Registration Data, to revise, update, or otherwise modify the PB Online Service and establish or change limits concerning use of the PB Online Service, temporarily or permanently, including but not limited to

(i) the amount of storage space you have on the PB Online Service at any time, and

(ii) the number of times (and the maximum duration for which) you may access the PB Online Service in a given period of time.

TECHARTUS reserves the right to make any such changes effective immediately to maintain the security of the system or User Access Information or to comply with any laws or regulations, and to provide you with electronic or written notice within thirty (30) days after such change.

You may reject changes by discontinuing use of the PB Online Service to which such changes relate.

Your continued use of the PB Online Service will constitute your acceptance of and agreement to such changes.

TECHARTUS may, from time to time, perform maintenance upon the PB Online Service resulting in interrupted service, delays or errors in the PB Online Service.

TECHARTUS will attempt to provide prior notice of scheduled maintenance but cannot guarantee that such notice will be provided.

8.1 We may tell you about other TECHARTUS services.

You may be offered other services, products, or promotions by TECHARTUS ("TECHARTUS Services"). Additional terms and conditions and fees may apply. With some TECHARTUS Services you may upload or enter data from your account(s) such as names, addresses and phone numbers, purchases, etc., to the Internet. You grant TECHARTUS permission to use information about your business and experience to help us to provide the TECHARTUS Services to you and to enhance the Services. You grant TECHARTUS permission to combine your business data, if any, with that of others in a way that does not identify you or any individual personally. You also grant TECHARTUS permission to share or publish summary results relating to research data and to distribute or license such data to third parties.

8.2 Communications

TECHARTUS may be required by law to send you communications about the Services or Third Party Products. You agree that TECHARTUS may send these communications to you via email or by posting them on our websites.

8.3 You will manage your passwords and accept updates.

You are responsible for securely managing your password(s) for the Services and to contact TECHARTUS if you become aware of any unauthorized access to your account. The Services may periodically be updated with tools, utilities, improvements, third party applications, or general updates to improve the Services. You agree to receive these updates.

9. Social Media Sites

TECHARTUS may provide experiences on social media platforms such as Facebook®, Twitter® and LinkedIn® that enable online sharing and collaboration among anyone who has registered to use them. Any content you post, such as pictures, information, opinions, or any Personal Information that you make available to other participants on these social platforms, is subject to the Terms of Use and Privacy Policies of those platforms. Please refer to those social media platforms to better understand your rights and obligations with regard to such content.

10. Third Party Products And Services

TECHARTUS may tell you about third party products or services, including via the Service. TECHARTUS may offer products and services on behalf of third parties who are not affiliated with TECHARTUS (“Third Party Products”) and/or provide access or links to third party websites ("Third Party Sites"). If you decide to use any Third Party Products or access any Third Party Sites, you are solely responsible for your selection, review of separate product terms, website terms and privacy policies. . TECHARTUS is not affiliated with these Third Party Products or Third Party Sites and does not endorse or recommend Third Party Products even if such products are marketed or distributed via our products, website or associated with TECHARTUS in any way. You agree that the third parties, and not TECHARTUS, are solely responsible for the Third Party Product’s performance (including technical support), the content on their websites and their use or disclosure of your data. TECHARTUS will not be liable for any damages, claims or liabilities arising from the third parties, Third Party Products or Third Party Sites.

(i) comply with all applicable laws, regulation and ordinances;

(ii) not use the Third Party Products in any manner that would infringe or violate the rights of TECHARTUS or any other party; and .

(iii) not use the Third Party Products in any way in furtherance of criminal, fraudulent or other unlawful activity.

11. Disclaimer Of Warranties

11.1 Your Use Of The Services And Content Is Entirely At Your Own Risk. Except As Described In This Agreement, The Services Are Provided "As Is." To The Maximum Extent Permitted By Applicable Law, Techartus, Its Affiliates, And Its Third Party Providers, Licensors, Distributors Or Suppliers (Collectively,"Suppliers") Disclaim All Warranties, Express Or Implied, Including Any Warranty That The Services Are Fit For A Particular Purpose, Title, Merchantability, Data Loss, Non-Interference With Or Non-Infringement Of Any Intellectual Property Rights, Or The Accuracy, Reliability, Quality Or Content In Or Linked To The Services. Techartus And Its Affiliates And Suppliers Do Not Warrant That The Services Are Secure, Free From Bugs, Viruses, Interruption, Errors, Theft Or Destruction. If The Exclusions For Implied Warranties Do Not Apply To You, Any Implied Warranties Are Limited To 60 Days From The Date Of Purchase Or Delivery Of The Services, Whichever Is Sooner.

11.2 Techartus, Its Affiliates And Suppliers Disclaim Any Representations Or Warranties That Your Use Of The Services Will Satisfy Or Ensure Compliance With Any Legal Obligations Or Laws Or Regulations. You Are Solely Responsible For Ensuring That Your Use Of The Services Is In Accordance With Applicable Law. Notwithstanding The Foregoing, No Provision Of This Agreement Shall Exclude Or Limit Liability To The Extent That Such Exclusion Or Limitation Is Prohibited By The Applicable Laws Of England And Wales And For The Avoidance Of Doubt Techartus Does Not Exclude Liability For.

(I) Death Or Personal Injury Caused By Its Negligence Or The Negligence Of Its Officers, Employees, Contractors Or Agents;

(Ii) Fraud Or Fraudulent Misrepresentation;

(Iii) Any Other Liability Which Cannot Be Lawfully Excluded By Contractual Agreement Of The Parties.

12. Limitation Of Liability And Indemnity

To The Maximum Extent Permitted By Applicable Law, The Entire Liability Of Techartus, Its Affiliates And Suppliers For All Claims Relating To This Agreement Shall Be Limited To The Amount You Paid For The Services During The Twelve (12) Months Prior To Such Claim. Subject To Applicable Law, Techartus, Its Affiliates And Suppliers Are Not Liable For Any Of The Following.

Indirect, Special, Incidental, Punitive Or Consequential Damages;

Damages Relating To Failures Of Telecommunications, The Internet, Electronic Communications, Corruption, Security, Loss Or Theft Of Data, Viruses, Spyware, Loss Of Business, Revenue, Profits Or Investment, Or Use Of Software Or Hardware That Does Not Meet Techartus Systems Requirements. The Above Limitations Apply Even If Techartus And Its Affiliates And Suppliers Have Been Advised Of The Possibility Of Such Damages. This Agreement Sets Forth The Entire Liability Of Techartus, Its Affiliates And Your Exclusive Remedy With Respect To The Services And Its Use.

You agree to indemnify and hold TECHARTUS and its Affiliates and Suppliers harmless from any and all claims, liability and expenses, including reasonable attorneys' fees and costs, arising out of your use of the Services or breach of this Agreement (collectively referred to as "Claims").

TECHARTUS reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any Claims. You agree to reasonably cooperate as requested by TECHARTUS in the defense of any Claims.

13. Changes

We reserve the right to change this Agreement at any time, and the changes will be effective when posted through the Services, on our website for the Services or when we notify you by other means. We may also change or discontinue the Services, in whole or in part. Your continued use of the Services indicates your agreement to the changes.

14. Termination

TECHARTUS may immediately, in its sole discretion and without notice terminate this Agreement or suspend the Services if you fail to comply with this Agreement or if you no longer agree to receive electronic communications. Upon termination you must immediately stop using the Services and any outstanding payments will become due. Any termination of this Agreement shall not affect TECHARTUS’s rights to any payments due to it. TECHARTUS may terminate a free account at any time. Sections 2.2, 3 through 15 will survive and remain in effect even if the Agreement is terminated.

15. Cancellation

Upon cancellation you will be able to access the PB Online Service only through the end of the subscription term, as specified in the product or product program pages. After the subscription term ends, you will not have any access to the PB Online Service. There are no refunds upon cancellation. Please follow product instructions to cancel your account.

16. Apple Requirements

If you downloaded the Software from the Mac App Store, the following terms also apply to you.

(I) Acknowledgement. You acknowledge that this Agreement is between you and TECHARTUS only, and not with Apple, and TECHARTUS, not Apple, is solely responsible for the Software and the content thereof.

(Ii) Scope of License. The license granted to you for the Software is a limited, non-transferable license to use the Software on Mac product that you own or control and as permitted by the Usage Rules set forth in the terms of service applicable to the Mac App Store.

(Iii) Maintenance and Support. TECHARTUS and not Apple is solely responsible for providing any maintenance and support services, for which additional fees may apply, with respect to the Services. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Software.

(iv) Warranty. TECHARTUS is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Software to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Software, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be TECHARTUS’s sole responsibility.

(v) Product Claims. TECHARTUS, not Apple, is responsible for addressing any user or third party claims relating to the Software or the user’s possession and/or use of the Software, including, but not limited to.

product liability claims;

any claim that the Software fail to conform to any applicable legal or regulatory requirement; and

claims arising under consumer protection or similar legislation.

(vi) Intellectual Property Rights. You acknowledge that, in the event of any third party claim that the Software or your possession and use of the Software infringes that third party’s intellectual property rights, TECHARTUS, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.

(vii) Legal Compliance. You represent and warrant that

you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a terrorist-supporting country; and

(ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

(viii) Developer Contact Info. Direct any questions, complaints or claims to. TECHARTUS SOLUTIONS, 4/11, Kamaraj Nagar Ist Street, Saligramam, Chennai – 600093.

(ix) Third Party Terms of Agreement. You must comply with any applicable third party terms of agreement when using the Software.

(x) Third Party Beneficiary. You acknowledge and agree that Apple and Apple’s subsidiaries are third party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of the Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce the Agreement against you as a third party beneficiary thereof.

17. Export Restrictions

You acknowledge that the Services, including the mobile application, and the underlying software may include Indian technical data subject to restrictions under export control laws and regulations administered by the Indian government and the applicable state governments. You agree that you will comply with these laws and regulations, and will not export or re-export any part of the Services, in violation of these laws and regulations, directly or indirectly.

18. Governing Law And Jurisdiction

This Agreement will be governed by the laws of India, without regard to its conflicts of law principles. Notwithstanding the foregoing, you acknowledge that your breach (or an apprehension of breach) of any provisions of this Agreement, or any infringement (or apprehension of infringement) of TECHARTUS’s or its Suppliers’ intellectual property rights may cause TECHARTUS irreparable damage for which recovery of money damages would be inadequate.

The parties hereby submit to the exclusive jurisdiction of the courts of India and you agree that you will procure that any third party making a claim against TECHARTUS arising out of this Agreement shall bring such claim exclusively in the Indian courts and subject to the limitations and exclusions of liabilities provided for in this Agreement.

TECHARTUS does not represent that the Services and/or content within the Services is appropriate or available for use in all jurisdictions or countries. TECHARTUS prohibits accessing content from within countries or states where such content is illegal. You are responsible for compliance with all applicable laws pertaining to your use and access to the Services in your jurisdiction.

19. Language

Any translation of this Agreement is done for local requirements and in the event of a dispute between the English and any non-English version, the English version of this Agreement shall govern. In the event of a dispute the parties confirm that they have requested that this Agreement and all related documents be drafted in English.

20. General

This Agreement, including the Additional Terms below, is the entire agreement between you and TECHARTUS and replaces all prior understandings, communications and agreements, oral or written, regarding its subject matter. If any court of law, having jurisdiction, rules that any part of this Agreement is invalid, that section will be removed without affecting the remainder of the Agreement. The remaining terms will be valid and enforceable. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. You cannot assign or transfer ownership of this Agreement to anyone without written approval of TECHARTUS

Risk of Loss
